Subscriber Terms and Conditions

These Subscriber Terms and Conditions, together with any applicable order form, invoice, online checkout page, statement of work, proposal, or subscription confirmation referencing these terms, govern access to and use of the league management software-as-a-service platform, websites, applications, administrative tools, data services, hosting services, and related services provided by CrushedIT Sports LLC, a Connecticut limited liability company, referred to in these Terms as “CrushedIT Sports,” “we,” “us,” or “our.”

By creating an account, signing an order form, accepting an invoice, submitting payment, accessing the platform, or otherwise using the services, the subscribing league, organization, association, club, school, business, or other entity, referred to as “Subscriber,” “you,” or “your,” agrees to be bound by these Terms.

If the individual accepting these Terms is doing so on behalf of an organization, that individual represents and warrants that they have authority to bind that organization to these Terms.


1.Services

CrushedIT Sports provides a hosted league management SaaS solution that may include, depending on the subscribed package, tools for league administration, team management, schedules, scores, statistics, rosters, registration, media, communications, payments, standings, websites, and related administrative functionality.

CrushedIT Sports may update, modify, improve, suspend, discontinue, or replace features from time to time. We may also provide new features, integrations, or modules that may be subject to additional fees or terms.

2.Subscriber Accounts and Authorized Users

Subscriber is responsible for all activity conducted through its accounts, administrator accounts, team manager accounts, player accounts, parent accounts, staff accounts, or any other user accounts associated with Subscriber's organization.

Subscriber is responsible for:

  1. Ensuring that only authorized users access the services;
  2. Maintaining the confidentiality of login credentials;
  3. Promptly disabling or requesting removal of users who should no longer have access;
  4. Ensuring that its users comply with these Terms;
  5. All data entered, uploaded, published, displayed, transmitted, or managed through the platform.

CrushedIT Sports is not responsible for unauthorized access caused by Subscriber's failure to maintain account security, properly manage user permissions, or remove users whose access should be revoked.

3.Subscription Term; Annual Commitment

Unless otherwise stated in an applicable order form or written agreement, subscriptions are sold on an annual commitment basis.

Subscriber may be invoiced annually, monthly, or according to another billing schedule agreed by the parties. However, a monthly billing schedule does not convert the subscription into a month-to-month subscription unless expressly stated in writing by CrushedIT Sports.

If Subscriber cancels, terminates, stops using the services, fails to launch, discontinues league operations, or otherwise ceases use before the end of the applicable annual subscription term, Subscriber remains responsible for payment of the remaining subscription fees for the full annual term.

For example, if Subscriber agrees to an annual subscription billed monthly and cancels after six months, Subscriber will remain responsible for the remaining six months of subscription fees, unless CrushedIT Sports agrees otherwise in writing.

4.Fees and Payment

Subscriber agrees to pay all fees stated in the applicable order form, invoice, subscription confirmation, checkout page, or other written agreement.

Unless otherwise stated:

  1. Fees are due according to the billing schedule stated by CrushedIT Sports;
  2. All fees are non-refundable;
  3. Subscriber is responsible for applicable taxes, duties, assessments, or governmental charges, excluding taxes based on CrushedIT Sports' income;
  4. Late payments may result in suspension or termination of access;
  5. CrushedIT Sports may charge reasonable costs of collection, including attorneys' fees, for overdue amounts.

CrushedIT Sports may condition continued access to the services on payment of all outstanding amounts.

5.Renewal

Unless otherwise stated in an applicable order form or written agreement, subscriptions may renew for additional annual terms.

CrushedIT Sports may provide renewal pricing before the renewal date. Continued use of the services after the start of a renewal term constitutes acceptance of the renewal term and applicable fees.

Subscriber is responsible for providing timely written notice of non-renewal if it does not wish to renew. Unless otherwise stated in writing, notice of non-renewal must be provided at least thirty days before the end of the then-current subscription term.

6.Subscriber Data and Content

For purposes of these Terms, “Subscriber Data” means all information, content, files, text, names, statistics, schedules, scores, rosters, images, videos, logos, trademarks, team names, player names, player information, registration information, contact information, payment-related information, website content, communications, and other materials entered, uploaded, submitted, displayed, stored, transmitted, or processed through the services by or on behalf of Subscriber or its users.

Subscriber retains ownership of Subscriber Data, subject to the rights granted to CrushedIT Sports in these Terms.

Subscriber grants CrushedIT Sports a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, modify, and use Subscriber Data solely as necessary to provide, maintain, secure, support, and improve the services.

7.Subscriber Responsibility for Content and Permissions

Subscriber is solely responsible for all Subscriber Data and for ensuring that Subscriber has all rights, licenses, consents, permissions, and legal authority necessary to enter, upload, publish, display, transmit, store, and use Subscriber Data through the services.

Without limiting the foregoing, Subscriber represents and warrants that:

  1. Subscriber has the right to use and display all league names, team names, logos, trademarks, service marks, trade names, images, videos, and other materials submitted to the platform;
  2. If Subscriber uses professional, collegiate, scholastic, recreational, or other team names, including names that may be identical or similar to Major League Baseball, Minor League Baseball, NCAA, school, professional, amateur, or other third-party team names, Subscriber has obtained all necessary permissions or has otherwise determined that its use is lawful;
  3. Subscriber has obtained all necessary permissions to display player names, coach names, manager names, parent names, statistics, roster information, photographs, video, biographical information, and other personal or identifying information;
  4. Subscriber has the right to publish scores, statistics, standings, schedules, game results, media, articles, highlights, and related information;
  5. Subscriber Data will not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights of any third party;
  6. Subscriber Data will not violate any applicable law, rule, regulation, league rule, school policy, association policy, or contractual obligation.

CrushedIT Sports does not review, verify, endorse, approve, or assume responsibility for the accuracy, legality, appropriateness, ownership, or permissibility of Subscriber Data.

CrushedIT Sports is not responsible for claims, disputes, losses, damages, or liabilities arising from Subscriber Data, including claims involving unauthorized use of names, logos, trademarks, player likenesses, player information, statistics, team names, copyrighted content, or other third-party materials.

8.Privacy and Personal Information

Subscriber is responsible for determining what personal information it collects, enters, uploads, or stores through the services and for ensuring that such collection and use complies with applicable laws.

Subscriber is responsible for providing any required privacy notices and obtaining any required consents from players, parents, guardians, coaches, managers, administrators, volunteers, officials, staff, or other individuals whose information is submitted to the services.

If Subscriber submits information relating to minors, Subscriber is solely responsible for ensuring that it has obtained all legally required parental, guardian, school, league, or organizational consents.

CrushedIT Sports will use commercially reasonable efforts to safeguard information processed through the services, but Subscriber acknowledges that no system is completely secure and that use of hosted software involves inherent risks.

9.Acceptable Use

Subscriber and its users may not use the services to:

  1. Violate any law, regulation, or third-party right;
  2. Upload or distribute unlawful, infringing, defamatory, harassing, abusive, obscene, discriminatory, threatening, or otherwise inappropriate content;
  3. Upload malicious code, malware, viruses, worms, or other harmful software;
  4. Interfere with or disrupt the operation, security, or integrity of the services;
  5. Attempt to gain unauthorized access to the services, systems, data, networks, or accounts;
  6. Circumvent usage limits, security controls, authentication controls, or access restrictions;
  7. Use the services to send spam or unauthorized communications;
  8. Misrepresent identity, affiliation, authority, or permissions;
  9. Use the services in a way that could damage, disable, overburden, or impair the platform;
  10. Use the services for any purpose other than legitimate league, sports, administrative, registration, communication, or related business purposes.

CrushedIT Sports may suspend or restrict access if it reasonably believes Subscriber or its users have violated this section.

10.CrushedIT Sports Intellectual Property

CrushedIT Sports and its licensors retain all right, title, and interest in and to the services, software, platform, source code, object code, user interfaces, workflows, designs, templates, databases, schemas, APIs, documentation, business processes, know-how, trademarks, trade names, service marks, logos, and all related intellectual property.

No rights are granted to Subscriber except the limited right to access and use the services during the applicable subscription term in accordance with these Terms.

Subscriber may not copy, modify, adapt, translate, reproduce, distribute, sell, resell, license, sublicense, rent, lease, pledge, assign, transfer, publish, create derivative works from, or otherwise exploit any part of the services except as expressly permitted by CrushedIT Sports in writing.

11.Restrictions on Reverse Engineering and Competitive Use

Subscriber may not, and may not permit any user or third party to:

  1. Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, architecture, structure, algorithms, database design, workflows, or underlying ideas of the services;
  2. Copy, imitate, replicate, or recreate any feature, function, workflow, design, screen, report, data model, process, or user interface of the services;
  3. Use the services to develop, train, support, or improve a competing product or service;
  4. Benchmark, test, scrape, crawl, scan, or analyze the services for competitive purposes;
  5. Access the services for the purpose of building a similar or substitute product;
  6. Remove, obscure, or alter proprietary notices;
  7. Circumvent technical limitations, access controls, subscription controls, or security mechanisms;
  8. Share access credentials with unauthorized users;
  9. Use automated tools or scripts to extract data or functionality except as expressly authorized by CrushedIT Sports.

Violation of this section may result in immediate suspension or termination, and CrushedIT Sports reserves all rights and remedies available at law or in equity.

12.Feedback

If Subscriber or its users provide suggestions, ideas, feature requests, comments, improvements, or other feedback regarding the services, Subscriber grants CrushedIT Sports a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, develop, commercialize, and otherwise exploit such feedback without restriction or compensation.

13.Service Availability and Support

CrushedIT Sports will use commercially reasonable efforts to make the services available, subject to maintenance, updates, outages, internet disruptions, third-party service interruptions, security events, force majeure events, and other circumstances outside our reasonable control.

CrushedIT Sports does not guarantee uninterrupted or error-free operation of the services.

Support may be provided by email, online support channels, documentation, or other methods determined by CrushedIT Sports. Support availability, response times, and service levels may vary based on the subscribed package.

14.Third-Party Services

The services may integrate with or depend on third-party platforms, hosting providers, payment processors, email providers, authentication providers, analytics services, content delivery networks, mapping services, messaging tools, or other third-party services.

CrushedIT Sports is not responsible for third-party services, including their availability, security, pricing, functionality, data processing, or changes to their services.

Subscriber's use of third-party services may be subject to separate third-party terms and policies.

15.Data Backup and Export

CrushedIT Sports may maintain backups as part of its ordinary business operations, but Subscriber remains responsible for maintaining its own copies of important data to the extent necessary for its operations.

Upon request, and subject to technical feasibility, account status, payment status, and applicable fees, CrushedIT Sports may provide reasonable data export assistance.

CrushedIT Sports is not obligated to retain Subscriber Data after expiration or termination except as required by law or as otherwise agreed in writing.

16.Suspension

CrushedIT Sports may suspend access to all or part of the services if:

  1. Subscriber fails to pay amounts when due;
  2. Subscriber or its users violate these Terms;
  3. CrushedIT Sports reasonably believes suspension is necessary to protect the services, other customers, users, data, systems, or third parties;
  4. Required by law, court order, or governmental authority;
  5. Subscriber's use creates security, operational, legal, reputational, or financial risk.

Suspension does not relieve Subscriber of its payment obligations.

17.Termination

Either party may terminate the subscription at the end of the applicable subscription term by providing timely written notice of non-renewal.

CrushedIT Sports may terminate these Terms or Subscriber's access to the services if Subscriber materially breaches these Terms and fails to cure the breach within a reasonable period after notice, or immediately if the breach cannot reasonably be cured or presents legal, security, operational, or reputational risk.

Termination or cancellation before the end of an annual subscription term does not relieve Subscriber of responsibility for the remaining fees owed for that annual term.

Upon termination, Subscriber's right to access and use the services will cease.

18.Disclaimers

The services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, CrushedIT Sports disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted or error-free operation.

CrushedIT Sports does not warrant that:

  1. The services will meet Subscriber's specific requirements;
  2. The services will be uninterrupted, secure, timely, or error-free;
  3. Data will always be accurate, complete, or recoverable;
  4. Defects will be corrected;
  5. The services will comply with every rule, regulation, policy, or operational requirement applicable to Subscriber's league or organization.

Subscriber is responsible for verifying the accuracy of schedules, scores, statistics, standings, rosters, registration information, payment information, communications, and all other data used in connection with league operations.

19.Limitation of Liability

To the maximum extent permitted by law, CrushedIT Sports will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, loss of goodwill, loss of data, business interruption, reputational harm, or cost of substitute services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, CrushedIT Sports' total aggregate liability arising out of or relating to these Terms, the services, or the subscription will not exceed the amounts actually paid by Subscriber to CrushedIT Sports for the services during the three months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory, whether contract, tort, negligence, strict liability, warranty, statute, or otherwise.

20.Indemnification

Subscriber agrees to defend, indemnify, and hold harmless CrushedIT Sports, its owners, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, demands, actions, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  1. Subscriber Data;
  2. Subscriber's or its users' use of the services;
  3. Subscriber's breach of these Terms;
  4. Subscriber's violation of applicable law;
  5. Subscriber's violation of third-party rights, including intellectual property, privacy, publicity, or contractual rights;
  6. Claims that Subscriber lacked permission to use or display team names, league names, logos, trademarks, player names, player likenesses, statistics, images, videos, or other content;
  7. Disputes between Subscriber and its players, parents, coaches, managers, officials, volunteers, teams, sponsors, schools, leagues, associations, or other third parties.

CrushedIT Sports may participate in the defense of any indemnified claim with counsel of its own choosing. Subscriber may not settle any claim in a manner that imposes obligations on CrushedIT Sports without CrushedIT Sports' prior written consent.

21.Confidentiality

Each party may receive confidential or proprietary information from the other party. Confidential information includes non-public business, technical, financial, operational, pricing, product, security, customer, and strategic information.

Each party agrees to use the other party's confidential information only as necessary to perform under these Terms and to protect it using reasonable care.

Confidential information does not include information that is publicly available, independently developed without use of confidential information, rightfully received from a third party without confidentiality obligations, or required to be disclosed by law.

22.Publicity

Unless Subscriber notifies CrushedIT Sports in writing that it objects, CrushedIT Sports may identify Subscriber as a customer and may use Subscriber's name and logo in customer lists, marketing materials, presentations, and websites.

Any broader case study, testimonial, press release, or public announcement will require Subscriber's consent.

23.Compliance with Laws

Subscriber is responsible for complying with all laws, rules, regulations, policies, and contractual obligations applicable to its use of the services, including those relating to privacy, data protection, intellectual property, youth sports, minors, communications, payments, consumer protection, and electronic records.

CrushedIT Sports is not responsible for providing legal, compliance, tax, accounting, or regulatory advice.

24.No Professional Advice

The services may provide tools, workflows, reports, statistics, calculations, payment records, registration data, or administrative information. Such information is provided for operational convenience only and does not constitute legal, tax, accounting, financial, insurance, medical, compliance, or professional advice.

Subscriber is responsible for making its own decisions and consulting appropriate professionals as needed.

25.Assignment

Subscriber may not assign or transfer these Terms, its subscription, or its rights to access the services without CrushedIT Sports' prior written consent.

CrushedIT Sports may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or transfer of its business.

26.Force Majeure

CrushedIT Sports will not be liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, hosting failures, cyberattacks, third-party service failures, governmental actions, pandemics, power failures, or other similar events.

27.Governing Law and Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the services will be brought exclusively in the state or federal courts located in Connecticut, and each party consents to the jurisdiction and venue of those courts.

28.Notices

CrushedIT Sports may provide notices to Subscriber by email, through the services, by invoice, by administrative message, or by other reasonable means.

Subscriber is responsible for keeping its contact information current.

29.Changes to These Terms

CrushedIT Sports may update these Terms from time to time. Updated Terms may be posted online, provided through the services, sent by email, or otherwise made available to Subscriber.

Continued use of the services after updated Terms become effective constitutes acceptance of the updated Terms.

Material changes will not retroactively reduce Subscriber's rights during a then-current subscription term unless required by law or necessary to address security, legal, operational, or platform integrity issues.

30.Entire Agreement

These Terms, together with any applicable order form, invoice, subscription confirmation, checkout page, written proposal, or other agreement referencing these Terms, constitute the entire agreement between Subscriber and CrushedIT Sports regarding the services.

These Terms supersede all prior or contemporaneous agreements, proposals, discussions, or understandings relating to the services.

If there is a conflict between these Terms and an order form or written agreement signed by CrushedIT Sports, the signed order form or written agreement will control only with respect to the conflicting provision.

31.Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

32.Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

33.Electronic Acceptance

Subscriber agrees that electronic acceptance, online checkout, account creation, payment submission, continued use, or other electronic indication of assent has the same legal effect as a physical signature.

By accepting these Terms, Subscriber acknowledges that it has read, understands, and agrees to be bound by them.


Acceptance

By continuing through the signup flow, creating an account, signing an order form, submitting payment, or otherwise using the services, Subscriber agrees to these Subscriber Terms and Conditions.
